TAPTAPUP – TERMS OF USE

These Terms of Use (“Terms”) constitute a legally binding agreement between TapTapUp (“TapTapUp,” “we,” “our,” or “us”) and each individual or entity (“User,” “Customer,” “Merchant,” “Vendor,” or “you”) that accesses or uses the TapTapUp website, applications, APIs, payment links, software, content, and related services collectively referred to as the “Services.”

By creating an account, accessing the Services, submitting or receiving a payment, integrating with our APIs, or otherwise using the Services, you confirm that you have read, understood, and agreed to be bound by these Terms and our applicable policies.

If you do not agree to these Terms, you must not access or use the Services.

  • 1. Eligibility
    By accessing or using the Services, you represent and warrant that:
    • You are at least eighteen (18) years old;
    • You have the legal capacity and authority to enter into a binding agreement;
    • If you are acting on behalf of a company or another legal entity, you have authority to bind that entity to these Terms;
    • All information you provide to TapTapUp is true, accurate, current, and complete;
    • You are not prohibited from using the Services under any applicable law, regulation, court order, or government restriction;
    • You will comply with all applicable federal, state, local, and international laws and regulations; and
    • You possess and will maintain all licenses, permits, registrations, approvals, and authorizations required for your activities.
    TapTapUp may reject any registration, refuse service, limit account functionality, or suspend or terminate access when permitted by applicable law.
  • 2. Description of Services
    TapTapUp provides consumer-to-business (“C2B”) payment and payment-collection services, which may include:
    • Payment links;
    • Merchant payment-processing tools;
    • API integrations;
    • Payment-collection tools;
    • Settlement and withdrawal tools;
    • Transaction reporting;
    • Account-management features; and
    • Services made available through third-party providers.

    TapTapUp acts solely as a C2B platform that facilitates payments between customers and merchants.

    TapTapUp is not:
    • A bank;
    • A financial institution;
    • A lender;
    • An insurer; or
    • The seller, supplier, distributor, manufacturer, or provider of goods or services offered by merchants.

    TapTapUp is not a party to the underlying agreement or commercial relationship between a customer and a merchant.

    TapTapUp does not own, control, inspect, endorse, verify, or guarantee any merchant or any goods or services offered through a merchant. TapTapUp does not guarantee the legality, quality, safety, availability, accuracy, delivery, suitability, or performance of any goods or services.

    TapTapUp may add, remove, modify, limit, suspend, or discontinue any Service or feature when reasonably necessary for security, compliance, operational, legal, or business purposes.
  • 3. Independent Relationship
    Nothing in these Terms creates or shall be interpreted as creating any:
    • Partnership;
    • Employment relationship;
    • Agency relationship;
    • Joint venture;
    • Franchise;
    • Fiduciary relationship; or
    • Representative relationship
    between TapTapUp and any User.

    Users act solely on their own behalf, for their own benefit, and at their own risk.

    No User has authority to bind TapTapUp or make any representation, warranty, commitment, or obligation on behalf of TapTapUp.
  • 4. Account Registration and Verification
    You may be required to create an account and complete identity or business verification before using some or all of the Services.

    You agree to:
    • Provide accurate, complete, and current information;
    • Provide all requested identity, business, ownership, and transaction information;
    • Keep your account information updated;
    • Notify TapTapUp promptly of material changes;
    • Use only accounts and payment methods that you are authorized to use; and
    • Cooperate fully with verification and compliance reviews.

    TapTapUp may use third-party providers to verify your identity, business, ownership, payment information, or eligibility.

    Registration or verification does not guarantee approval, continued access, transaction acceptance, withdrawal availability, or settlement eligibility.
  • 5. Account Security
    You are solely responsible for:
    • Maintaining the confidentiality of your login credentials;
    • Protecting your password and authentication methods;
    • Restricting access to your devices and account;
    • Monitoring account and transaction activity;
    • Ensuring that authorized users comply with these Terms; and
    • Promptly notifying TapTapUp of suspected unauthorized access or security incidents.

    Activity performed through your account may be treated as activity authorized by you unless you notify TapTapUp promptly and provide sufficient evidence of unauthorized access.

    TapTapUp is not responsible for losses caused by your failure to secure your account, credentials, email, device, payment method, or authentication information.

    TapTapUp may require password resets, additional authentication, or other security measures at any time.
  • 6. User Representations and Warranties
    Each time you use the Services, you represent and warrant that:
    • Your use of the Services is lawful;
    • All submitted information is accurate and not misleading;
    • You are authorized to use every payment method or account submitted;
    • Each transaction has a legitimate commercial purpose;
    • You will not misrepresent the nature of any transaction;
    • You will not disguise the identity of a customer, merchant, beneficiary, or business;
    • You will not divide transactions to avoid monitoring, reporting, or review;
    • Your activities do not violate third-party rights;
    • You maintain all licenses and approvals required for your activities; and
    • You will comply with these Terms and all applicable policies.

    You must immediately notify TapTapUp if any representation or warranty becomes inaccurate.
  • 7. Payment Authorization
    By initiating, accepting, or requesting a transaction through the Services, you authorize TapTapUp and its payment partners to:
    • Submit and process the transaction;
    • Transmit transaction instructions;
    • Collect applicable fees;
    • Share necessary transaction information with service providers;
    • Correct processing errors;
    • Reverse or adjust transactions when required;
    • Place holds or reserves where permitted; and
    • Take actions reasonably necessary to complete, investigate, or reconcile the transaction.

    Transaction availability and completion may depend on third-party payment providers, banking partners, payment networks, verification providers, and other service providers.

    A transaction displayed as submitted, pending, or processing is not necessarily final or completed.
  • 8. Fees and Pricing
    You agree to pay all fees applicable to your use of the Services.

    Fees may include:
    • Processing fees;
    • Service fees;
    • Settlement fees;
    • Withdrawal fees;
    • Dispute fees;
    • Chargeback fees;
    • Reversal fees;
    • Administrative fees;
    • Investigation or recovery costs; and
    • Other fees disclosed through the platform or an applicable agreement.

    Unless prohibited by law:
    • Fees are earned when charged;
    • Fees are final and non-refundable;
    • Fees may be deducted from transaction proceeds, account balances, reserves, or future settlements; and
    • Fees may apply even when a transaction is disputed, reversed, refunded, or charged back.

    TapTapUp may modify its fees by updating the platform, pricing schedule, or applicable agreement. Continued use of the Services after updated pricing becomes effective constitutes acceptance of the updated fees.

    You are responsible for all taxes arising from your business, transactions, or use of the Services, except taxes imposed directly on TapTapUp's income.
  • 9. Finality of Transactions and Refunds
    Completed transactions are final and non-refundable except where a refund or reversal is required by applicable law or approved through the applicable payment provider.

    TapTapUp has no general obligation to:
    • Reverse a completed transaction;
    • Recover funds from a merchant or customer;
    • Issue a refund using TapTapUp's own funds;
    • Compensate a User for an underlying commercial dispute;
    • Guarantee the success of a recovery request; or
    • Mediate or decide disputes concerning goods or services.

    Customers must direct requests concerning refunds, returns, cancellation, non-delivery, quality, or merchant performance to the applicable merchant.

    Merchants are responsible for establishing and clearly communicating their refund and return policies and for complying with applicable consumer-protection laws.

    Any assistance provided by TapTapUp is voluntary and does not create a continuing obligation or admission of responsibility.
  • 10. Settlement, Withdrawal, Reserves, and Holds
    TapTapUp may delay, reject, suspend, reverse, freeze, restrict, or cancel a settlement, withdrawal, transfer, transaction, or account balance where reasonably necessary, including when:
    • Fraud or unauthorized activity is suspected;
    • Unusual or inconsistent activity is detected;
    • A transaction requires additional review;
    • Verification is incomplete;
    • Documentation is inaccurate, incomplete, or unavailable;
    • Disputes, reversals, or chargebacks have occurred or are anticipated;
    • TapTapUp receives a legal, regulatory, banking, payment-provider, or law-enforcement request;
    • TapTapUp reasonably believes the activity creates legal, compliance, financial, security, operational, or reputational risk;
    • Funds may be subject to competing claims;
    • A User owes amounts to TapTapUp or its partners; or
    • Action is required by law, a payment-provider rule, or a partner agreement.

    TapTapUp may establish:
    • Fixed reserves;
    • Rolling reserves;
    • Transaction-specific reserves;
    • Minimum-balance requirements; or
    • Other risk-based settlement conditions.

    TapTapUp may retain a reserve or hold for the period reasonably necessary to address anticipated disputes, chargebacks, reversals, penalties, investigations, legal requirements, or other potential liabilities.

    Settlement and withdrawal timeframes are estimates only. TapTapUp does not guarantee that funds will become available or arrive within any particular timeframe.
  • 11. Set-Off and Amounts Owed
    To the extent permitted by law, TapTapUp may deduct, debit, recoup, or set off any amount you owe against:
    • Your available balance;
    • Pending settlements;
    • Reserves;
    • Future transaction proceeds;
    • Refunds otherwise due to you; or
    • Other amounts payable through the Services.

    Amounts owed may include:
    • Fees;
    • Chargebacks;
    • Reversals;
    • Refunds;
    • Penalties;
    • Assessments;
    • Losses;
    • Investigation expenses;
    • Collection costs; and
    • Reasonable attorneys' fees.

    Your obligation to pay amounts owed continues after account suspension, closure, or termination.
  • 12. User Obligations
    You agree to:
    • Use the Services only for lawful and legitimate purposes;
    • Maintain accurate transaction and business records;
    • Provide clear and accurate descriptions of goods and services;
    • Maintain records supporting each transaction;
    • Deliver purchased goods or services as represented;
    • Respond promptly to customers and TapTapUp;
    • Cooperate with compliance reviews and investigations;
    • Provide requested documentation within the required timeframe;
    • Maintain reasonable fraud-prevention and account-security controls;
    • Pay all applicable taxes, fees, liabilities, and assessments; and
    • Comply with payment-provider and payment-network rules applicable to your transactions.

    You are solely responsible for your business, products, services, employees, contractors, customers, marketing, representations, taxes, licenses, and legal compliance.
  • 13. Prohibited Activities and Restricted Businesses
    You may not use, attempt to use, or permit another person to use the Services for any unlawful, fraudulent, deceptive, abusive, or restricted purpose.

    Prohibited activities and restricted businesses include:
    • Fraud or attempted fraud;
    • Money laundering;
    • Terrorist financing;
    • Identity theft;
    • Use of stolen, unauthorized, or fraudulently obtained payment methods;
    • Chargeback abuse or dispute manipulation;
    • Transactions without a legitimate commercial purpose;
    • False, misleading, disguised, or fabricated transactions;
    • Transaction laundering or processing on behalf of an undisclosed third party;
    • Circumvention of transaction limits, verification requirements, or monitoring controls;
    • Pyramid schemes;
    • Ponzi schemes;
    • Human trafficking;
    • Child exploitation;
    • Illegal gambling;
    • Unlicensed gaming activities;
    • Sale or distribution of counterfeit goods;
    • Sale of illegal products or services;
    • Malware development or distribution;
    • Phishing, credential theft, or impersonation;
    • Intellectual-property infringement;
    • Sanctions violations;
    • Adult-content businesses;
    • Escort services;
    • Firearms or weapons businesses;
    • Illegal drug-related businesses;
    • Tobacco and vape businesses;
    • Multi-level marketing businesses;
    • Unlicensed financial services;
    • Deceptive, unfair, or abusive business practices;
    • Businesses operating without required licenses or approvals;
    • Businesses operating in violation of applicable law; and
    • Any activity prohibited by law, a payment provider, a banking partner, or an applicable payment-network rule.

    TapTapUp may determine, based on the information reasonably available to it, whether a business, transaction, product, service, or activity is prohibited, restricted, unsupported, or otherwise unacceptable.

    The absence of an activity from this list does not mean that the activity is permitted.
  • 14. Compliance and Verification
    TapTapUp may request information or documentation at any time, including:
    • Government-issued identification;
    • Proof of address;
    • Business-formation and registration documents;
    • Ownership and control information;
    • Tax records;
    • Bank statements;
    • Invoices;
    • Receipts;
    • Customer communications;
    • Proof of delivery;
    • Proof of services provided;
    • Transaction histories;
    • Source-of-funds information;
    • Business-purpose information;
    • Licenses and permits; and
    • Any other information reasonably required for compliance, security, risk management, or investigation.

    You authorize TapTapUp to verify submitted information through available sources and third-party providers.

    Failure to provide complete and satisfactory information may result in:
    • Rejection of transactions;
    • Delayed settlements;
    • Withdrawal restrictions;
    • Account limitations;
    • Frozen or reserved balances;
    • Suspension;
    • Permanent account closure; or
    • Reporting or disclosure where required or permitted by law.

    TapTapUp is not required to disclose confidential risk rules, security procedures, investigation methods, third-party instructions, or legally restricted information.
  • 15. Monitoring and Investigations
    TapTapUp may monitor and review:
    • Account activity;
    • Transactions;
    • Payment patterns;
    • Communications with TapTapUp;
    • Information submitted through the Services;
    • Device and access information;
    • Technical and security information; and
    • Other indicators relevant to fraud, compliance, security, or risk.

    TapTapUp may investigate suspected violations and may cooperate with:
    • Banks;
    • Payment processors;
    • Payment networks;
    • Identity-verification providers;
    • Regulatory agencies;
    • Government authorities;
    • Law-enforcement agencies;
    • Courts; and
    • Other authorized third parties.

    TapTapUp may disclose information when required by law, authorized by the User, necessary to provide the Services, or reasonably necessary to prevent fraud, enforce these Terms, protect legal rights, or address security threats.

    TapTapUp's decision to investigate one matter does not create an obligation to investigate any other matter.
  • 16. Suspension, Restrictions, and Termination
    TapTapUp may suspend, restrict, limit, terminate, or permanently prohibit an account or User from accessing the Services when reasonably necessary, including when:
    • These Terms or another applicable policy are violated;
    • Fraud, unauthorized activity, or abuse is suspected;
    • Information provided is false, incomplete, or misleading;
    • Verification cannot be completed;
    • Excessive or unusual disputes, reversals, or chargebacks occur;
    • Continued use presents unacceptable risk;
    • A payment provider or partner requires action;
    • A government or law-enforcement authority requests action;
    • The Services are used for a prohibited or restricted activity; or
    • TapTapUp discontinues the applicable Service.

    Where permitted, TapTapUp may take immediate action without prior notice.

    Account suspension or termination does not:
    • Cancel completed transactions;
    • Eliminate amounts owed;
    • Prevent chargebacks or reversals;
    • Require immediate release of reserves;
    • Limit TapTapUp's right to recover losses; or
    • Affect provisions intended to survive termination.

    TapTapUp may retain necessary account and transaction information after termination as required or permitted by law.
  • 17. Chargebacks, Disputes, and Loss Recovery
    Users are responsible for all chargebacks, disputes, reversals, refunds, penalties, assessments, fines, and related fees attributable to their accounts or transactions.

    TapTapUp may:
    • Reverse a transaction;
    • Debit an account balance;
    • Offset future settlements;
    • Freeze or reserve funds;
    • Suspend settlement;
    • Require additional documentation;
    • Recover losses from the responsible User;
    • Refer unpaid amounts for collection; or
    • Pursue available legal remedies.

    Chargeback and dispute fees are non-refundable unless otherwise required by law or expressly determined by the applicable payment provider.

    TapTapUp does not control and cannot guarantee the outcome of a dispute, chargeback, reversal, or appeal decided by a bank, payment provider, payment network, or other third party.

    Users must maintain sufficient records to respond to disputes and must provide requested evidence within the specified deadline.
  • 18. Merchant Responsibility and Customer Disputes
    Merchants are solely responsible for:
    • The legality of their business;
    • The accuracy of product and service descriptions;
    • Pricing and disclosures;
    • Customer authorization;
    • Order fulfillment;
    • Product quality and safety;
    • Delivery;
    • Customer service;
    • Refunds and returns;
    • Warranties;
    • Taxes;
    • Licenses and permits; and
    • Compliance with consumer-protection laws.

    TapTapUp does not manufacture, sell, inspect, store, distribute, deliver, endorse, or guarantee merchant goods or services.

    TapTapUp is not responsible for:
    • Product quality;
    • Delivery failures or delays;
    • Merchant representations;
    • Customer dissatisfaction;
    • Non-performance;
    • Refund decisions;
    • Contract disputes; or
    • Damages arising from an underlying transaction.

    Disputes concerning goods or services must be resolved directly between the customer and merchant, subject to rights available under applicable law.
  • 19. Third-Party Services
    The Services may depend on or integrate with third-party providers.

    TapTapUp does not control and is not responsible for:
    • Third-party availability;
    • Processing delays;
    • Service interruptions;
    • Third-party eligibility decisions;
    • Payment-network decisions;
    • Banking-provider actions;
    • Verification-provider decisions;
    • Third-party security incidents; or
    • Third-party terms and policies.

    Your use of third-party services may be subject to separate terms and privacy policies.

    TapTapUp does not guarantee that any third-party service will remain available.
  • 20. Service Availability and Modifications
    TapTapUp does not guarantee uninterrupted, continuous, secure, or error-free availability of the Services.

    TapTapUp may perform maintenance, updates, repairs, security changes, or operational modifications that affect availability.

    TapTapUp may change, suspend, restrict, or discontinue any part of the Services where reasonably necessary.

    TapTapUp is not liable for losses caused by scheduled maintenance, emergency maintenance, technical failures, third-party interruptions, or discontinuation of a feature, except where liability cannot legally be excluded.
  • 21. Intellectual Property
    All TapTapUp software, APIs, technology, trademarks, service marks, trade names, logos, interfaces, designs, graphics, text, documentation, and other materials are owned by or licensed to TapTapUp and are protected by applicable intellectual-property laws.

    Subject to these Terms, TapTapUp grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Services for their intended purpose.

    You may not:
    • Copy or reproduce TapTapUp materials;
    • Modify or create derivative works;
    • Reverse engineer, decompile, or disassemble software;
    • Circumvent security or access controls;
    • Resell or sublicense the Services;
    • Scrape or extract data through unauthorized means;
    • Use TapTapUp branding without written authorization; or
    • Use the Services to develop a competing product through unauthorized access.

    TapTapUp may revoke this limited permission upon suspension or termination.
  • 22. Electronic Communications
    By using the Services, you consent to receive notices, disclosures, agreements, policies, transaction information, and other communications electronically.

    Communications may be provided by:
    • Email;
    • Website notice;
    • In-account notification;
    • Application notification; or
    • Other electronic means associated with your account.

    Electronic communications satisfy any legal requirement that communications be provided in writing, to the extent permitted by law.

    You are responsible for maintaining a valid email address and reviewing communications sent to your account.
  • 23. Privacy and Data Use
    Use of the Services is subject to TapTapUp's Privacy Policy.

    TapTapUp may collect, use, process, store, and disclose information as reasonably necessary to:
    • Provide and improve the Services;
    • Verify identities and businesses;
    • Process transactions;
    • Prevent fraud;
    • Maintain security;
    • Conduct compliance reviews;
    • Respond to legal requests;
    • Enforce these Terms; and
    • Meet legal and regulatory obligations.

    You are responsible for obtaining any notices and consents required for personal information you submit concerning another person.
  • 24. Disclaimer of Warranties
    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE," AND WITH ALL FAULTS.

    TAPTAPUP DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF:
    • MERCHANTABILITY;
    • FITNESS FOR A PARTICULAR PURPOSE;
    • TITLE;
    • NON-INFRINGEMENT;
    • ACCURACY;
    • SECURITY;
    • RELIABILITY;
    • CONTINUOUS AVAILABILITY; AND
    • ERROR-FREE OPERATION.

    TAPTAPUP DOES NOT WARRANT THAT:
    • THE SERVICES WILL ALWAYS BE AVAILABLE;
    • TRANSACTIONS WILL ALWAYS BE ACCEPTED OR COMPLETED;
    • ERRORS WILL ALWAYS BE CORRECTED;
    • THE SERVICES WILL MEET EVERY USER'S REQUIREMENTS; OR
    • THIRD-PARTY SERVICES WILL PERFORM AS EXPECTED.

    YOU USE THE SERVICES AT YOUR OWN RISK.

    Nothing in these Terms excludes any warranty that cannot lawfully be excluded.
  • 25. Limitation of Liability
    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TAPTAPUP AND ITS OFFICERS, EMPLOYEES, AFFILIATES, CONTRACTORS, SERVICE PROVIDERS, AND PARTNERS SHALL NOT BE LIABLE FOR:
    • INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES;
    • LOST PROFITS OR REVENUE;
    • LOST BUSINESS OR BUSINESS OPPORTUNITIES;
    • BUSINESS INTERRUPTION;
    • LOSS OF DATA;
    • LOSS OF GOODWILL;
    • PAYMENT DELAYS OR FAILURES;
    • MERCHANT OR CUSTOMER DISPUTES;
    • UNAUTHORIZED ACCOUNT ACCESS CAUSED BY USER NEGLIGENCE;
    • THIRD-PARTY ACTIONS OR FAILURES; OR
    • LOSSES ARISING FROM SUSPENSION, RESERVES, HOLDS, OR TERMINATION LAWFULLY IMPOSED UNDER THESE TERMS.

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAPTAPUP'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID DIRECTLY BY THE CLAIMING USER TO TAPTAPUP DURING THE NINETY (90) DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

    These limitations apply regardless of the legal theory asserted and even if TapTapUp was advised of the possibility of damages.

    Nothing in these Terms limits liability that cannot lawfully be limited.
  • 26. Indemnification
    To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless TapTapUp and its officers, employees, affiliates, contractors, service providers, and partners from claims, demands, actions, proceedings, investigations, liabilities, damages, judgments, penalties, fines, losses, costs, and expenses, including reasonable attorneys' fees, arising from or relating to:
    • Your use or misuse of the Services;
    • Your violation of these Terms;
    • Your violation of applicable law;
    • Your goods, services, business, or customer relationships;
    • Fraud or unauthorized activity associated with your account;
    • Chargebacks, reversals, disputes, or refunds;
    • Your infringement of third-party rights;
    • Information or content submitted by you;
    • Regulatory or law-enforcement investigations related to your activities; or
    • Taxes, licenses, and obligations for which you are responsible.

    TapTapUp may assume control of the defense of a matter subject to indemnification, and you agree to cooperate reasonably with that defense.
  • 27. Force Majeure
    TapTapUp shall not be liable for delays, interruptions, or failures caused by events beyond its reasonable control, including:
    • Natural disasters;
    • Severe weather;
    • Fire or flood;
    • Epidemics or public-health emergencies;
    • War;
    • Terrorism;
    • Civil unrest;
    • Government actions;
    • Court orders;
    • Sanctions;
    • Cyberattacks;
    • Internet or telecommunications failures;
    • Power outages;
    • Banking-system failures;
    • Payment-network failures;
    • Labor disputes;
    • Supply interruptions; or
    • Third-party service failures.

    TapTapUp may suspend affected Services for the duration of such an event.
  • 28. No Fiduciary or Special Duty
    TapTapUp owes no fiduciary, advisory, trustee, or special duty to any User, merchant, customer, or third party.

    Information provided through the Services is for operational or informational purposes and does not constitute legal, tax, accounting, or investment advice.

    Users are responsible for obtaining professional advice appropriate to their circumstances.
  • 29. Assignment
    You may not assign, transfer, delegate, or sublicense your rights or obligations under these Terms without TapTapUp's prior written consent.

    TapTapUp may assign or transfer its rights or obligations under these Terms as part of a merger, acquisition, reorganization, sale of assets, service-provider arrangement, or other lawful business transaction.

    Any unauthorized assignment by a User is void.
  • 30. Severability
    If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law.

    The remaining provisions shall remain in full force and effect.
  • 31. No Waiver
    TapTapUp's failure or delay in exercising any right or enforcing any provision does not waive that right or provision.

    A waiver is effective only if made in writing by an authorized representative of TapTapUp.

    A waiver concerning one matter does not constitute a waiver concerning another matter.
  • 32. Entire Agreement
    These Terms, together with the Privacy Policy, applicable pricing, and any additional agreement expressly incorporated by reference, constitute the entire agreement concerning the Services.

    They supersede prior or contemporaneous communications, representations, discussions, and understandings concerning the same subject matter.
  • 33. Survival
    Provisions that by their nature should survive suspension or termination shall remain effective, including provisions concerning:
    • Fees and amounts owed;
    • Reserves and holds;
    • Chargebacks and loss recovery;
    • Intellectual property;
    • Disclaimers;
    • Limitation of liability;
    • Indemnification;
    • Governing law;
    • Dispute resolution; and
    • Merchant responsibilities.
  • 34. Amendments
    TapTapUp may amend these Terms from time to time.

    Updated Terms will be published through the Services with an updated "Last Updated" date.

    Unless a different effective date is stated, updated Terms become effective upon publication, subject to applicable law.

    Your continued use of the Services after updated Terms become effective constitutes acceptance of those Terms.

    If you do not accept an update, you must discontinue use of the Services.
  • 35. Governing Law and Dispute Resolution
    These Terms shall be governed by and interpreted under the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.

    To the extent permitted by law, any dispute arising from or relating to these Terms or the Services shall be brought exclusively in the state or federal courts having jurisdiction in Wyoming.

    Each party consents to the personal jurisdiction and venue of those courts.

    To the fullest extent permitted by applicable law, each User agrees to bring claims solely in an individual capacity and not as a plaintiff or class member in any purported class, collective, coordinated, consolidated, mass, or representative proceeding.

    Nothing in this section prevents either party from seeking temporary or emergency injunctive relief in a court of competent jurisdiction.
